Skyworks is going to buy a startup, Qorvo, to form a combined company worth $22 billion that will supply radio frequency chips to Apple and other smartphone makers. This stock-and-cash deal will create one of the largest U.S. suppliers of radio-frequency chips, aiming to step into the smartphone recovery market after the pandemic downturn, while Apple is focusing on developing in-house chips to reduce its reliance on other semiconductor firms

This deal includes 0.960 Skyworks shares per allocated share, while Qorvo shareholders will receive $32.50 in cash. The total offer price of $105.31 represents a 14.3% premium to Qorvo's Monday close, and the total company value is currently $9.76 billion.
Both companies experienced a 12% increase in trading before the market opened. Skyworks is well known for its chip manufacturing in both analog and mixed signal formats. These chips are primarily used across sectors such as wireless communication, consumer electronics, automotive, and industrial applications. According to the forecast for August, the company's fourth-quarter revenue is benefiting from steady demand for its analog chips.
Apple’s plan to develop their in-house radio chip manufacturing was first announced in early 2025. This move could potentially reduce their dependence on suppliers like Skyworks and Qorvo as they work on their long-term goals. This merger of two major U.S. tech companies specializing in radio-frequency chips for smartphones might also face tough antitrust scrutiny. The companies expect to close this deal by 2027.
According to sources, Qorvo's chief Bob Bruggeworth will join the board, while Skyworks' CEO, Phil Brace, will serve as CEO of the combined company. Additionally, after the deal, Skyworks investors will hold nearly 63% of the merged company, while Qorvo shareholders will own the remaining 37% on a fully diluted basis.
In April, Qorvo appointed industry veterans Christopher Koopmans and Richard Clemmer as their independent board directors to further boost the company’s share price.
